Terms of Service

Please read these Terms of Service ("Terms") carefully before using KikReach ("Service", "Platform", "we", "us", or "our"). By accessing or using KikReach, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

By creating an account or accessing KikReach, you confirm that you are at least 18 years of age, have the legal authority to enter into these Terms on behalf of yourself or your organization, and agree to comply with all applicable laws and regulations.

2. Description of Service

KikReach is a SaaS platform that enables TikTok Shop sellers, brands, and agencies to discover content creators, manage affiliate campaigns, automate outreach messaging, build affiliate communities, and analyze campaign performance.

3. Account Registration

3.1 You must provide accurate and complete information when creating an account and keep it up to date.

3.2 You are responsible for maintaining the security of your account credentials. You agree to notify us immediately of any unauthorized access to your account.

3.3 You may not share your account, transfer it to another person, or create multiple accounts to circumvent credit limits or restrictions.

3.4 We reserve the right to suspend or terminate accounts that violate these Terms or contain false information.

4. TikTok Shop Integration and Third-Party Platforms

4.1 To use core features of KikReach, you must connect your TikTok Shop account via OAuth. By doing so, you authorize KikReach to access your TikTok Shop data, including products, order information, and creator data, as permitted by TikTok's API terms.

4.2 Your use of KikReach is also subject to TikTok's own Terms of Service, Community Guidelines, and API usage policies. We are not responsible for changes TikTok makes to its API or platform that may affect the functionality of KikReach.

4.3 KikReach integrates with Discord for community management. By using this feature, you agree to Discord's Terms of Service. You are responsible for ensuring your Discord server complies with Discord's policies.

5. Automated Messaging and Outreach

5.1 KikReach enables automated direct messaging to TikTok creators. You agree to use this feature responsibly and in full compliance with TikTok's messaging policies and applicable anti-spam laws.

5.2 You are solely responsible for the content of all messages sent through the platform, whether manually written or AI-generated. KikReach is not liable for any claims arising from your outreach communications.

5.4 You agree not to use the automated messaging features to send spam, misleading information, illegal content, or unsolicited commercial messages in violation of any applicable law.

6. Community and Public Pages

6.1 KikReach allows you to create affiliate communities with public-facing landing pages (e.g., kikreach.com/c/your-brand). You are responsible for all content published on these pages.

6.2 You agree not to post content that is unlawful, defamatory, harassing, obscene, or that infringes on the intellectual property rights of any third party.

6.3 Gamification features such as leaderboards and quests must not be used in a deceptive or fraudulent manner. All rewards communicated to creators must be honored in good faith.

6.4 We reserve the right to remove any community page or content that violates these Terms without prior notice.

7. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation

• Interfere with or disrupt the integrity or performance of the platform or its infrastructure

• Attempt to gain unauthorized access to any part of the Service or its related systems

• Reverse engineer, decompile, or disassemble any part of the platform

• Use the Service to engage in fraud, deception, or manipulation of TikTok's creator ecosystem

• Scrape, harvest, or collect data from the platform beyond what is necessary for your authorized use

• Resell, sublicense, or commercially exploit the Service without our written consent

8. Intellectual Property

8.1 KikReach and all associated technology, branding, content, and software are owned by us and protected by intellectual property laws. Nothing in these Terms grants you ownership rights in the platform.

8.2 You retain ownership of all content you create and upload to the platform, including campaign content, community pages, and messaging templates. By uploading content, you grant KikReach a non-exclusive, worldwide, royalty-free license to host, display, and process your content for the purpose of operating the Service.

8.3 You represent that you have all necessary rights to any content you submit and that it does not infringe any third-party rights.

9. Data and Privacy

9.1 Our Privacy Policy, incorporated herein by reference, describes how we collect, use, and protect your data.

9.2 By connecting your TikTok Shop account, you acknowledge that KikReach will access and store TikTok creator data (including handles, follower counts, and performance metrics) to power the platform's features. You agree to use this data only as permitted by TikTok's terms and applicable law.

9.3 You are responsible for obtaining any necessary consents from creators or individuals whose data you access through the platform.

9.4 We implement reasonable technical and organizational measures to protect your data. However, no system is completely secure, and we cannot guarantee absolute security.

10. Disclaimers

10.1 THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. We do not guarantee the accuracy or completeness of any data sourced from TikTok or other third parties.

10.3 AI-generated content (including outreach messages) is provided for convenience only. We make no guarantee as to its accuracy, quality, or suitability, and you assume full responsibility for its use.

10.4 KikReach does not guarantee any particular campaign results, creator responses, sales figures, or revenue outcomes.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KIKREACH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO KIKREACH IN THE SIX MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless KikReach and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your content or campaigns; (d) your outreach communications; or (e) your violation of any third-party rights.

13. Termination

13.1 You may cancel your account at any time by contacting us or through the platform settings. Upon cancellation, any unused credits are forfeited.

13.2 We may suspend or terminate your access to the Service at any time, with or without cause, including for violation of these Terms, non-payment, or misuse of automated features.

13.3 Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination will survive.

14. Modifications to the Service and Terms

14.1 We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

14.2 We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law and Dispute Resolution

15.1 These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

15.2 Any disputes arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the American Arbitration Association's rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

15.3 You waive any right to participate in class action lawsuits or class-wide arbitration.

16. Miscellaneous

16.1 Entire Agreement. These Terms, together with the Privacy Policy and any additional agreements you enter into with us, constitute the entire agreement between you and KikReach.

16.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

16.3 Waiver. Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

16.4 Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights freely.
